Major Duties and Responsibilities:   

  • Ensuring identification and compliance with respective laws and regulations and internal normative documents of the Bank; Providing professional advice to the governing bodies and individual directors on the corporate governance aspects of strategic decisions; 
  •  Acting as a bridge for information, communication, advice and negotiation between the governing bodies of the Bank; Upon request, assisting the chairmen of the governing bodies on a number of matters, including those related to induction, trainings and workshops, performance evaluations and succession planning processes; 
  • Maintaining sound boardroom practices, by, serving as a liaison for members of the governing bodies, coordinating, attending, organizing and preparing agendas and papers, drafting minutes, eliciting responses, input, feedback for meetings of the governing bodies, dealing with correspondence, collating information and preparing reports, ensuring decisions made are communicated to the relevant parties in a timely manner, preparing and maintaining decisions logbook, ensuring that decisions of the governing bodies are implemented, maintaining corporate calendars; Administering the process of appointment and dismissal of the Bank’s administrators;
  • Developing and administering the Information Disclosure Policy and ensuring disclosure through annual report and other disclosure channels; Notifying regulator of any decisions that require notification; Ensuring allocation and delegation of authority is documented, and ensuring that the Supervisory Board and the Board of Directors operate within it; 
  • Discharging duties and responsibilities in terms of facilitating committees work, advising the Supervisory Board and the Board of Directors as to which committees should be constituted, participating in developing the terms of reference and scope of responsibility for committees;
  •  Be responsible for protecting the reputation of the Bank, be responsible for identifying the reputational risk associated with the decisions, actions taken, or inaction by the Supervisory Board; Ensure relevant reports are submitted to the Supervisory Board on a regular bases; Drafting and reviewing the Code of Ethics (including whistleblowing policy), piloting the code, communicating it to employees, collecting input from employees, giving feedback to the Board, and suggesting amendments;
  • To lead and manage subordinate/s to achieve the required business goals; By identifies and developing team members’ talents and competencies;
  • Systematically developing, reviewing, and improving processes, policies, and procedures. Proactively seek ways to enhance the Bank’s internal practices and procedures and reassesses operational risks connected with changing internal and external environment. 

 

Qualifications Required:

Education: Academic Higher Education is a member of any of the professional bodies, such as the Institute of Chartered Secretaries and Administrators.      

Work Experience: For at least three of the five years immediately preceding their appointment, held the office of company secretary of a finance institution.

Languages: Fluent in Georgian, English and Russion languages.

Technical knowledge and skills: Demonstrated working knowledge of Microsoft Windows Server in an enterprise environment.
